Terms of Service

These Terms of Service (“Terms”) govern use of carbetsolutions.com and, when incorporated into an accepted proposal, statement of work, service agreement, or other project document, services provided by Carbet Solutions (“Carbet Solutions,” “we,” “us,” or “our”).

Carbet Solutions is the public business name used on this website. These Terms do not represent that Carbet Solutions is an LLC or corporation.

Agreement Structure and Acceptance

A client project may be governed by an accepted proposal, statement of work, Service Agreement, Project Agreement, or similarly titled document. If a project-specific document conflicts with these general Terms, the project-specific document controls only for the specific conflicting project term.

A project document may be accepted through an electronic signature, an identifiable digital acceptance mechanism, or an unequivocal email acceptance tied to the applicable document. Carbet Solutions should retain evidence identifying the version accepted, the person accepting it, and the date of acceptance. Payment alone should not be the only acceptance mechanism for a significant project.

Website Use

You may use the website for lawful informational and business purposes. You may not:

  • Interfere with the website’s operation or security.
  • Access systems or information without authorization.
  • Introduce malicious code or create unreasonable system load.
  • Copy, republish, or exploit protected website content without permission.
  • Use the website to violate another person’s rights or applicable law.

We may restrict access when reasonably necessary to protect the website, our business, or others.

Information and No Guarantee of Results

Website content is provided for general information. Although we aim to keep it accurate, we do not promise that every item will always be complete, current, or error-free.

Carbet Solutions must perform the services and deliverables promised in an accepted project document. However, website design, content, marketing, search-readiness, analytics, and related services do not guarantee any specific sales, revenue, leads, followers, traffic, conversions, search rankings, return on advertising spend, or other commercial result. Outcomes depend on factors outside Carbet Solutions’ control. This limitation does not excuse a failure to perform contracted work.

Proposals Scope and Revisions

The accepted project document will identify the scope, schedule, deliverables, fees, and any project-specific conditions. Unless it states otherwise:

  • Work begins after the required acceptance and initial payment are received.
  • Two reasonable revision rounds are included for the agreed deliverables.
  • One revision round means one consolidated set of feedback after the client reviews a version.
  • Unused revision rounds have no cash value.
  • Additional revision rounds may require an additional fee.
  • A request may be outside scope even when submitted during a revision round.

Material work outside the original scope requires written approval before Carbet Solutions begins it. The approval should identify the added work, any additional fee, and any schedule impact. Email, an add-on proposal, or another clear written change record may be used.

Client Responsibilities and Information

Clients are responsible for:

  • Providing accurate information, instructions, content, access, feedback, and approvals on time.
  • Confirming that they have permission to use all text, photographs, logos, trademarks, media, software, and other materials they provide.
  • Maintaining secure credentials and notifying Carbet Solutions of suspected unauthorized access.
  • Paying domain, hosting, premium plugin, software, advertising, and other third-party fees unless an accepted agreement expressly states otherwise.
  • Reviewing the completed website and obtaining professional advice regarding legal, regulatory, tax, accessibility, or industry-specific requirements for their own business.

Carbet Solutions may reasonably rely on client-provided information, materials, authorizations, and representations and has no general duty to independently investigate them unless the accepted scope says otherwise. If Carbet Solutions knows or has reasonable grounds to believe a request is illegal, fraudulent, misleading, or infringes third-party rights, it may reject or suspend that request.

Carbet Solutions follows reasonable accessible design and development practices included in the contracted scope. Unless expressly contracted, Carbet Solutions is not providing a legal accessibility audit or certification and does not guarantee compliance with every standard or regulation. This does not eliminate any legal duty directly applicable to Carbet Solutions’ own work.

Project Review Client Delay and Launch

When Carbet Solutions sends a formal review or approval request, the client generally has five business days to respond unless the accepted project document provides another period.

If the client does not respond, Carbet Solutions may advance an appropriate internal stage, consider the presented stage complete for scheduling purposes, place the project on hold, or reschedule the work. Silence does not create a blanket waiver of the client’s rights, and Carbet Solutions will not publish a website automatically when affirmative launch authorization is required.

After 30 days of inactivity while awaiting client materials, access, feedback, or approval, Carbet Solutions may place the project on hold, and the original schedule no longer applies. After 90 days of inactivity, Carbet Solutions may administratively close the project as abandoned. Restarting may require a new schedule, an updated scope, and an agreed or previously disclosed reactivation fee.

Client delay does not indefinitely postpone payment that has become due for completed or presented work under the accepted project document.

Delivery dates may be reasonably extended for events outside Carbet Solutions’ reasonable control. Carbet Solutions will reasonably resume performance when possible. This does not excuse ordinary or preventable issues within Carbet Solutions’ control.

Fees and Payment

Carbet Solutions currently does not use a website payment gateway to automatically charge clients. Clients submit payments manually using instructions provided privately through an authorized invoice or communication. Banking details, account numbers, routing information, and similar payment credentials are not published in these public Terms.

Unless an accepted project document states otherwise:

  • Fifty percent of a fixed-scope project fee is due to reserve the project and begin work.
  • The remaining fifty percent is due before publication, launch, final transfer, or delivery of agreed production credentials or files.
  • Carbet Solutions may pause related work or services when an amount is overdue and may reasonably adjust the schedule.
  • Carbet Solutions may withhold final delivery, publication, launch, transfer, or agreed final files and credentials until the applicable project balance is paid.
  • Carbet Solutions may not retain or seize assets that already belonged to the client, such as a pre-existing logo, client-owned domain, or client-owned hosting account.
  • The client is responsible for approved out-of-scope work and authorized third-party expenses.

Clients may question an incorrect payment. Carbet Solutions will keep appropriate agreement, invoice, approval, communication, and work records and will use a good-faith resolution process. If a formal payment dispute or chargeback occurs, Carbet Solutions may provide relevant records to the payment institution or provider. Nothing in these Terms waives a right that cannot lawfully be waived.

Domain Hosting and Third-Party Costs

Domain registration and website hosting costs are excluded from fixed-scope website prices and monthly maintenance fees unless the accepted project document expressly includes them.

Unless expressly agreed otherwise:

  • The client opens, owns, and pays for domain and hosting accounts directly.
  • Carbet Solutions may help select, configure, and administer those services while the active scope includes that work.
  • The client is responsible for keeping provider accounts current and paid.
  • Cancellation of maintenance ends Carbet Solutions’ administration, updates, and support; it does not cancel client-owned hosting or take the site offline.
  • Any future Carbet-managed or bundled hosting offer requires separate written pricing and terms.

Premium plugins, software, email tools, booking tools, apps, advertising spend, APIs, licenses, and similar third-party costs are also the client’s responsibility unless an accepted agreement states otherwise. Carbet Solutions will obtain client approval before incurring an additional third-party expense that it intends to bill to the client.

Third-Party Platforms and Services

Third-party products and services are governed by their providers’ terms, pricing, availability, technical limitations, and security practices.

Carbet Solutions remains responsible for correctly configuring or administering a third-party service when that work is included in the contracted scope. Carbet Solutions is not responsible for provider-originated outages, suspensions, discontinuations, pricing changes, policy changes, or failures outside its reasonable control. When an active support plan includes assistance with the service, Carbet Solutions will still provide the reasonable support promised by that plan.

Intellectual Property and Ownership

Each party retains ownership of materials it owned before the project. The client retains its name, logo, trademarks, business information, original content, photographs, data, and other materials it supplied.

After Carbet Solutions receives all amounts due, Carbet Solutions will transfer the rights it owns in the final custom deliverables as stated in the accepted project document. The client will have sufficient rights to use, operate, maintain, and modify the delivered website, including through another developer. The accepted project document, not only these public Terms, should identify the applicable transfer.

Carbet Solutions retains its pre-existing and reusable materials, including templates, frameworks, code libraries, generic components, processes, methods, know-how, internal tools, internal working files, generic design systems, and improvements not uniquely identifiable as the client’s confidential material. To the extent retained material is embedded in a fully paid deliverable, the client receives a perpetual, non-exclusive license to use that material as part of the delivered website. The client may not extract or resell Carbet Solutions’ retained materials as standalone products.

When Carbet Solutions selects or provides stock images, fonts, icons, plugins, themes, libraries, open-source code, or software, it will use those resources consistently with the applicable license. Third-party ownership does not transfer merely because a resource is incorporated into a project. The accepted project document should identify responsibility for recurring license renewals.

Carbet Solutions may display completed public work in its portfolio or marketing, including public screenshots, the client’s public business name or logo, a public website link, and a general description of the work. Private metrics, internal data, credentials, customer personal information, private conversations, internal documents, and unreleased materials will not be used without specific authorization or another lawful basis.

Final Delivery and Handoff

After full payment, the client receives the finished website, client-owned account access, applicable credentials under Carbet Solutions’ control, and the final files expressly identified as deliverables.

Carbet Solutions is not required to provide internal tools, internal notes, master templates, reusable libraries or components, internal processes, or working/source artifacts that were not identified as deliverables.

Carbet Solutions will maintain a practical Delivery Snapshot or baseline of the delivered state for 12 months after delivery. The snapshot supports verification of the delivered condition and may serve as an operational recovery copy. It is not a promise of continuous backup service. After applicable support or maintenance ends, current backups are the responsibility of the client or hosting provider unless an active Carbet Solutions service expressly includes backups.

Ninety-Day Support and Correction of Defects

Unless an accepted project document states otherwise, the included 90-day support period begins at final delivery, publication, or launch—not at the initial payment.

During that period, Carbet Solutions will correct without additional charge a reproducible defect directly attributable to Carbet Solutions’ delivered work that causes an included function not to operate substantially as agreed. Reasonable clarification regarding use of the delivered work is also included.

The support period does not automatically include:

  • New pages, features, integrations, or campaigns.
  • Redesigns or preference-based changes.
  • Continuous content work.
  • Out-of-scope requests.
  • Failures caused by client or third-party modifications.
  • External provider issues.
  • Later browser, platform, plugin, API, hosting, or technology changes.

The client may modify the delivered site. Carbet Solutions is not responsible for a failure caused by a later client or third-party change, and diagnosis or repair may be additional paid work. A change unrelated to the reported problem does not automatically void all remaining support. When a problem is attributable to an original Carbet Solutions defect and remains covered, Carbet Solutions will correct it under the support terms.

Maintenance Security and Future Compatibility

Maintenance, content updates, security monitoring, malware remediation, analytics review, compatibility work, backups, uptime assistance, and technical support are included only when stated in an active plan or accepted agreement.

When an applicable maintenance or service period ends, Carbet Solutions has no continuing obligation to provide those ongoing services unless another active agreement applies. Ending maintenance does not excuse an original delivery defect that remains covered by the 90-day support obligation.

Carbet Solutions delivers the website functioning in the agreed environment at delivery but does not guarantee indefinite compatibility with future browsers, platforms, plugins, APIs, hosting systems, or other technology changes. Later compatibility work may require maintenance or additional paid work unless an active plan includes it.

Carbet Solutions applies reasonable security measures within the contracted scope but does not guarantee permanent immunity from attacks, malware, future vulnerabilities, provider failures, or unauthorized access outside its reasonable control. Carbet Solutions remains responsible for security defects or configuration errors attributable to its work within applicable support. Incidents caused by compromised credentials, later client or third-party changes, future vulnerabilities, external attacks, or the absence of post-maintenance updates may require additional work unless covered by an active plan.

Monthly Marketing and Ongoing Services

When a monthly marketing or ongoing service ends, the client retains its accounts, pre-existing assets, data, and paid custom deliverables. Carbet Solutions retains its reusable and internal resources.

At the effective end of the service, Carbet Solutions stops the applicable posting, campaign monitoring, messaging, advertising administration, updates, and support and removes its access when appropriate. The client remains responsible for third-party advertising spend and provider subscriptions unless an accepted agreement states otherwise.

Confidentiality and Credentials

Each party will use reasonable care to protect nonpublic information clearly identified as confidential or that a reasonable person would understand to be confidential. This obligation does not apply to information that is publicly available without breach, independently developed, lawfully received from another source, or required to be disclosed by law.

Carbet Solutions will use client credentials only as reasonably necessary to provide contracted services, avoid unnecessary sharing, protect them reasonably, and return or remove access when appropriate after the relationship ends.

Disclaimer of Warranties

To the fullest extent permitted by law, the public website and general website content are provided “as is” and “as available.” Carbet Solutions disclaims implied warranties to the extent they may legally be disclaimed. Any express project warranty must appear in an accepted project document.

Carbet Solutions does not warrant uninterrupted operation of the public website or uninterrupted availability of third-party platforms. Nothing in these Terms excludes a warranty or right that cannot lawfully be excluded.

Limitation of Liability

To the fullest extent permitted by law, Carbet Solutions will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, lost business opportunities, or interruption arising from the website or services.

For a fixed-scope project, Carbet Solutions’ aggregate liability will not exceed the fees actually paid to Carbet Solutions for the specific project or statement of work giving rise to the claim. For a monthly service, aggregate liability will not exceed the fees actually paid to Carbet Solutions for the applicable service during the 12 months preceding the event giving rise to the claim.

These amounts are maximum limits, not automatic payments. The limitations do not apply where liability cannot legally be limited.

Indemnification

To the extent permitted by law, a client agrees to defend and indemnify Carbet Solutions from third-party claims arising from materials the client supplied, unlawful client instructions, the client’s products or services, or the client’s breach of an applicable agreement.

Carbet Solutions will provide reasonable notice of a covered claim. The client may participate in or control the defense as reasonably appropriate, and Carbet Solutions will provide reasonable cooperation. A settlement may not impose an admission, payment, or continuing obligation on Carbet Solutions without its written consent. This section does not require indemnification for Carbet Solutions’ own willful misconduct or an obligation that cannot lawfully be shifted.

Suspension and Termination

Carbet Solutions may suspend related work or services for overdue payment, unavailable required access, prolonged noncooperation, unlawful instructions, material breach, or circumstances that make continued performance impractical or unsafe. Carbet Solutions may reasonably adjust delivery dates following a suspension.

Either party may end services as permitted by the accepted project document and the Cancellation and Refund Policy. Payment obligations, intellectual-property provisions, confidentiality, disclaimers, and limitations that by their nature should survive will remain effective.

Governing Law

Applicable Virginia law governs these Terms where appropriate. More specific dispute procedures may be addressed in an accepted project agreement when needed.

Severability

If one provision is invalid or unenforceable, the remaining provisions continue to the extent permitted by law.

Changes to These Terms

Carbet Solutions may update these public Terms as services, tools, practices, or legal requirements change and will display a revised Last Updated date. A later website-policy update does not retroactively change the material or economic terms of an already accepted project. The accepted project document and mutually agreed written changes control that project.
